DECISION
CRITERIA FOR CLASSIFICATION OF WHOLLY STATE-OWNED ENTERPRISES, PARTIALLY STATE-OWNED ENTERPRISES AND LIST OF STATE-OWNED ENTERPRISES UNDERGOING RESTRUCTURING IN 2016 - 2020
Pursuant to the Law on Government organization dated June 19, 2015;
Pursuant to the Law on Enterprises dated November 26, 2014;
Pursuant to the Law on management and use of State funding for manufacture and business by enterprises dated November 11, 2014;
Upon request of the Minister of Planning and Investment;
The Prime Minister hereby issues this Decision on criteria for classification of wholly State-owned enterprises, partially State-owned enterprises and list of State-owned enterprise undergoing restructuring in 2016 – 2020.
Article 1. Scope
Annex I - Criteria for Classification of wholly State-owned enterprises and partially State-owned enterprises and Annex II - List of State-owned enterprises undergoing restructuring in period of 2016 - 2020 are issued together with this Decision as the basis for classification and restructuring of existing wholly State-owned enterprises and sale of state capital in partially State-owned enterprises for purpose of stepping up restructuring and innovation by 2020.
Agriculture and forestry companies; national security and defense enterprises; State Capital Investment Corporation, Vietnam Debt and Asset Trading Corporation, Vietnam Asset Management Company and irrigation management companies structured in accordance with regulations of the Prime Minister and Government.
Article 2. Subjects of application
1. Wholly State-owned enterprises established under the Decision of the Prime Minister, Ministers, Heads of Ministerial-level agencies and Heads of Governmental agencies ( hereinafter referred to as “Ministry"), Presidents of the People’s Committees of provinces and central- affiliated cities ( hereinafter referred to as “ province”); State capital representatives in joint-stock companies, multi-member limited liability companies whose shares and stakes are held by the Ministry and People's Committees of provinces.
2. Single-member limited liability Company established by Member Councils of economic groups or State corporations, representatives of stake in economic groups, joint stock corporations and multi-member limited liability companies.
3. Other entities related to classification, structuring and innovation of wholly State-owned enterprises and partially State-owned enterprises.
Article 3.Implementation organizations
1. Ministers of the Ministry Presidents of People’s Committees of provinces and Members Councils of economic groups and corporations shall:
a) Carry out restructuring of wholly State-owned enterprises in period 2016 – 2020 according to classification criteria in Annex I and the list of wholly State-owned enterprises undergoing structuring in Annex II.
b) Develop the roadmap and sell State capital in joint-stock companies and multi-member limited liability companies conformable to criteria in Annex I.
c) Request the Prime Minister to review and decide to continue to hold above 50% of the charter capital of the enterprise manufacturing and providing public services and products in case of enterprises beyond the private sector providing good quality services at reasonable cost.
d) request the Prime Minister to make a Decision on restructuring of any economic group where it plays important role in local economic development and economic group’s strategy (such as in field of sea port management and operation; State –funded charter capital of 36% and other particular circumstances) .
dd) by 15th of April, submit a report on wholly State-owned enterprise structuring of the immediately preceding year and a restructuring plan for the reported year within the management to the Ministry of Planning and Investment and Steering Committee of enterprise development and innovation for aggregation and submission to the Prime Minister.
2. The Ministers of the Ministry of National Defense, Ministry of Public Security and Ministry of Finance and Governor of the State Bank of Vietnam shall submit plans for restructuring and innovating wholly State-owned enterprise affiliated to the Ministry of National Defense, Ministry of Public Security, State Capital Investment Corporation, Debt and Asset Trading Corporation of Vietnam and Vietnam Asset Management Corporation to the Prime Minister to review for approval.
3. Every Ministry, People’s Committee of provinces, economic group and corporation whose 2016 - 2020 structure and innovation plan is approved by the Prime Minister before the effective date of this Decision shall:
a) As for enterprises whose privatization plan has yet to be approved by the competent authority, the Minister of the Ministry, President of People’s Committee of provinces and Member Council of economic groups and corporation shall , according to the classification criteria in Annex I, actively adjust the percentage of State-held shares when preparing the privatization plan;
b) As of enterprises whose privatization plan is approved by the competent authority, carried out the approved plan and develop roadmap for selling State-owned capital as stipulated in point b clause 1 Article 3 hereof.
4. The Ministry of Planning and Investment shall:
a) Aggregate and submit the report on nationwide restructuring of Wholly State-owned enterprises to the Prime Minister;
b) Take charge of and cooperate with regulatory authorities in preparation and submission of structuring of enterprises managing and operating inter-district and inter-provincial irrigation works and seawalls to the Prime Minister to review for approval.
c) Compile and submit the list of Partially State-owned enterprises undergoing divestment in 2016 – 2020 to the Prime Minister to review for approval.
d) Periodically review and request the prime Minister to adjust and supplement the List of wholly State-owned enterprises undergoing restructuring in 2016 – 2020 in Annex II.
Article 4. Implementation
1. This Decision enters into force from February 15, 2017 and replaces the Decision No.37/2014/QD-TTg dated June 18, 2014 by the Prime Minister.
2. Ministers of the Ministry Presidents of People’s Committees of provinces and Member Councils of economic groups and corporations shall be responsible for implementation of this Decision.
3. The Ministry of Planning and Investment shall supervise, instruct and expedite regulatory authorities, economic groups and corporation to implement this Decision. /.

ANNEX I
CRITERIA FOR CLASSIFICATION OF WHOLLY STATE-OWNED ENTERPRISES AND PARTIALLY STATE-OWNED ENTERPRISES
(Enclosed with the Prime Minister’s Decision No.58/2016/QD-TTg dated December 28, 2016)
I. WHOLLY STATE-OWNED ENTERPRISES OPERATING IN:
1. Mapping services for national defense and security.
2. Manufacture and sale of industrial explosives.
3. Electricity distribution, national electricity system dispatching, management of electrical grids, multipurpose hydropower and nuclear power playing a significant role in socio-economic development, and national defense and security.
4. Management of national and State-invested municipal railroad infrastructure, coordination of State-invested national and municipal railroad traffic.
5. Air traffic services, aeronautical information services, and search and rescue services
6. Maritime safety (excluding dredging and maintenance of public navigable channels).
7. Public postal services.
8. Lottery business.
9. Publishing (excluding printing and publication)
10. Printing and manufacture of notes and gold bullion and golden souvenir.
11. Credit instruments for socio-economic development, services for banking system and credit institution safety.
II. ENTERPRISES UNDERGOING PRIVATIZATION AND RESTRUCTURING OF WHICH THE STATE HOLDS AT LEAST 65% OF CHARTER CAPITAL, OPERATING IN:
1. Airport management and operation; airfield operation services.
2. Air navigation services, aviation meteorological services
3. Large-scale mineral mining under current regulations of laws on classification of mineral mines.
4. Gas exploration and extraction
5. Financial and banking services (excluding insurance, securities, fund management companies, financial companies and financial leasing companies).
III. ENTERPRISES UNDERGIOING PRIVATIZATION AND RESTRUCTURING OF WHICH THE STATE HOLDS BEWTEEN 50% AND 65% OF CHARTER CAPITAL, OPERATING IN:
1. Manufacture of basic chemicals.
2. Air transport services.
3. Enterprises whose market share is of at least 30%, making contribution to the economic balance and market stability and operating in:
a) Rice wholesaling;
b) Petrol and oil leading importers.
4. Cigarette manufacture.
5. Telecommunications services having network infrastructure.
6. Growth and processing of rubber and coffee in strategic regions, mountainous, isolated and remote areas with the purpose of national defense and security.
7. Enterprises which are able to satisfy the essential demand for a rise in production, and spiritual and material life of ethnic groups in mountainous, isolated and remote areas.
8. Electricity retailing (conformable to the roadmap for formation and development of electricity market levels).
